Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the Scriptly platform and services provided by Scriptly (“we”, “us”, “our”). By creating an account or using our services, you agree to be bound by these Terms. If you do not agree, you may not use the platform.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

2. Eligibility

You must be at least 18 years old and capable of entering into a binding contract. If you are using the platform on behalf of an organisation, you represent that you have authority to bind that organisation.

3. Acceptable use

You agree not to misuse the service. Prohibited conduct includes: unlawful use; fraud or spam; intellectual property infringement; interference with security (malware, probing, scraping); generating illegal, harmful, or hateful content; and attempting to circumvent usage limits or technical protections.

You are responsible for your prompts, how you use AI outputs, and ensuring you have rights to any input content you submit. AI-generated outputs may be inaccurate or unsuitable for regulated professional advice without human oversight.

4. Account and credentials

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate information and keep it updated.

5. Intellectual property

Scriptly retains ownership of the platform, software, documentation, branding, and all related intellectual property. You are granted a limited, non-exclusive, non-transferable right to use the service within the scope of your selected plan.

You retain ownership of your input content and generated outputs, subject to our right to host and process content solely to provide the service. If you believe your rights have been infringed, contact us and we will investigate.

6. Payment, subscriptions, and refunds

Payment, billing, tax, cancellation, and refund mechanics are handled by our Merchant of Record, Paddle. Please refer to Paddle's Buyer Terms for details on these matters. Alternatively, you may review our Refund Policy.

Subscriptions renew automatically unless cancelled. You may cancel at any time through your account dashboard; access continues until the end of the current billing period.

7. Service level

We do not guarantee that the service will be uninterrupted, error-free, or secure at all times. We aim for high availability but occasional downtime may occur for maintenance or reasons beyond our control.

8. Warranties and disclaimers

The service is provided “as is” without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

9. Limitation of liability

To the maximum extent permitted by law, Scriptly's aggregate liability shall not exceed the total amount you paid to us in the 12 months preceding the claim. We are not liable for indirect, consequential, or special damages (including loss of profits, data, or goodwill), except where liability cannot be excluded by law (such as fraud, death, or personal injury).

10. Indemnity

You agree to indemnify and hold harmless Scriptly from any claims arising out of your use of the service, your content, or your violation of these Terms.

11. Suspension and termination

We may suspend or terminate your access for: material breach of these Terms; non-payment; security or fraud risk; or repeated or serious policy violations. Upon termination, your right to use the service ceases immediately. We may delete your data after a reasonable retention period, subject to legal obligations.

12. Governing law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Scriptly operates, without regard to conflict-of-law principles.

13. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated via email or through the platform. Continued use after changes constitutes acceptance.
